Sr Analyst Contracts
Job Location: Hershey, PA (Remote)
Summary:
The Senior Analyst Contracts position is highly cross functional partnering role working closely with a variety of internal customers at different levels within the Hershey organization to understand contract requirements and to seek advice and counsel from the Hershey Law Department and Risk Management. Responsibility is as a tactical lead in support of Indirect Procurement categories to drive Hershey Procurement initiatives. Contract support includes being responsible for the preparing, redlining, and negotiating of complex contract documents received from internal Hershey customers and Procurement Specialists and Category managers during the award phase of a request for proposal (“RFP”) process. This position applies professional, technical, and legal skills to the redlining/reviewing of legal agreements for a variety of contract types like master services agreements, statements of work, etc. The Senior Contract Analyst is required to lead a small team of contract professionals and work independently in managing, developing, and executing contract strategies to optimize contract cycle time/efficiency through the full lifecycle of a contract from the time the request is received until the contract is fully signed by all parties. This position reduces risk to the Hershey Company by bringing leadership, discipline, consistency, control, and accountability to Hershey’s Indirect Procurement contract management process. The Senior Analyst Contracts is expected to provide Contract Lifecycle Management (“CLM”) category training, administration, and provide superuser CLM support for Procurement. Additional duties include thought leadership in best practices as they relate to adherence to company policies and integration of contract lifecycle processes with e-signature and other strategic procurement processes and practices, maintaining contract files, notifying affected suppliers/customers of pertinent contract issues and status, and processing contract renewals and discontinuance.
In addition, Sr Analyst Contracts will be responsible for:
- Tactical lead for Indirect Procurement category(ies) support including development of contract templates and required tool and process training on tools and techniques.
- Provide thought leadership and contract best practices to meet Hershey company initiatives including assistance in Contract Lifecycle Management roadmap development and execution.
- Redline and negotiate commercial contract agreements by applying professional, technical, and legal skills to the redlining/reviewing process. Contract types include master services agreements (MSAs), statements of work (SOWs), etc.
- Develop and implement contract strategies to optimize contract lifecycle time and efficiency.
- Prepare and disseminate information regarding contract status, compliance, and contract metrics both at a detailed and summarized level.
- Perform in a CLM superuser role for category training, CLM system and DocuSign administration for the Hershey Company.
- Answer general contract questions by providing contract/agreement interpretation in layman’s terms to internal Hershey customers.

- Provide leadership in contract repository processes providing guidance to team members and users in maintaining accuracy of physical and electronic contract files and Supplier Master Data.
- Circulate contract documents for electronic signature according to authorization guidelines and ensures executed contract documents are stored appropriately according to Hershey retention guidelines.
- Prepare and disseminate information regarding contract status, compliance, and contract metrics both at a detailed and summarized level.

Skills and Experience:
REASONING ABILITY
- Ability to understand and interpret legal language in contracts and provide advise and counsel to contract professionals and internal stakeholders.
- Ability to solve medium to complex problems during legal contract negotiations. Requires medium to complex analytical skills.
FINANCIAL KNOWLEDGE
- Requires basic knowledge of financial terms and principles. Ability to calculate simple figures such as percentages.
COMMUNICATION & COLLABORATION SKILLS
- Ability to write well in clear concise language for contracts and overall communications.
- Ability to comprehend and interpret instructions, short correspondence, and memos and ask clarifying questions to ensure understanding.
- Ability to write reports and correspondence.

Minimum Requirements and Education:
- Bachelor of Science in Legal Studies or Associate Degree in Paralegal Studies, or related studies is required
- Master’s certificate in Commercial Contract Management or CCCM Certification or related studies a plus
- Minimum 2 years’ experience in commercial contract redlining
- Relevant work experience in contract lifecycle management, including:
- Knowledge and purpose of commonly used contracts types (e.g. NDA, master services agreements, licensing agreements, etc) is required.
- Knowledge of Supply Chain construction/process agreements a plus
- Knowledge of legal clauses and provisions in commercial contracts is required.
- Working knowledge or skills in a contracts lifecycle management tool such as Agiloft, an advantage
- Working knowledge of Microsoft Office products; Word, Excel, PowerPoint
- Extremely organized, high attention to details, excellent follow through, ability to present ideas in a clear and concise manner, ability to multi-task, and the ability to establish and maintain effective working relationships is required
- Amenable to shifting schedules, working overtime, or working on holidays as deemed necessary to meet contract deadlines
