Sr. Paralegal, SEC & Corporate Governance

Summary of Role:

We are seeking an experienced and detail-oriented SEC and Corporate Governance Paralegal to join our Legal Department with a primary focus on corporate securities compliance, corporate governance, and public company reporting obligations. The SEC and Corporate Governance Paralegal will work closely with legal, investor relations, finance, and corporate secretarial teams and play a critical role in ensuring compliance with applicable federal and state securities laws, stock exchange requirements, and internal governance policies.

 

 

 

 

Role Responsibilities:

SEC Filings & Public Company Compliance

  • Assist in the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, Section 16 filings (Forms 3, 4, and 5), and proxy statement;
  • Help manage compliance with NYSE listing requirements and disclosure obligations;
  • Maintain and update insider trading records and support compliance with the company’s insider trading policy, including trading plans, stock ownership requirements, tracking company calendar for earnings call, record and dividend payment dates; and
  • Coordinate with internal stakeholders and external advisors and counsel to gather and verify information for public disclosures.

SOX Controls & Compliance

  • Support documentation and testing of legal department controls related to SOX compliance;
  • Collaborate with internal audit and finance teams to ensure timely and accurate reporting of legal related controls;
  • Maintain records and evidence to support SOX control assertions and participate in walkthroughs and audits; and
  • Assist in identifying and implementing process improvements to strengthen internal controls.

Corporate Governance

  • Support in preparation for the company's Annual Meeting of Stockholders;
  • Support in preparation for the company's Annual Meeting of Stockholders, including Annual Meeting of Stockholders’ Planning Worksheet, team meetings, coordinate with Inspector of Elections, Broadridge and update IR website;
  • Assist in managing the corporate calendar and tracking governance deadlines and activities; and
  • Track and maintain records relating to non-business use of corporate aircraft for control employees; calculate incremental costs and imputed income working closely with Executive Compensation, Tax and Aviation Department.

Subsidiary Management

  • Assist with maintaining entity records, filings, and corporate documents for domestic subsidiaries; and
  • Assist in the formation and dissolution of U.S. legal entities and ensure compliance with local corporate requirements.

Equity Plan Administration Support

  • Partner with executive compensation team and external reporting team to support executive equity transactions and maintain accurate records for stock plans and administrative support to changes to plans;
  • Assist with the administration of pre-clearance, insider trading window and company calendar; and
  • Assist in the preparation of equity-related reports for SEC filings and internal reporting.

Legal & Administrative Support

  • Conduct legal research and monitor regulatory developments related to securities law and corporate governance;
  • Support due diligence and document management for corporate transactions; and
  • Manage document retention and assist with responses to internal and external audits or inquiries.

 

 

 

 

 

 

Desired knowledge, skills, and abilities:

  • Strong understanding of SEC regulations, corporate governance practices, and public company compliance
  • Excellent organizational, communication, and writing skills
  • Proficiency in Microsoft Office Suite and familiarity with legal entity management systems, SEC filing platforms (e.g., Workiva, Diligent, EDGAR)
  • Flexibility to respond to multiple and often-changing priorities on a global level
  • Excellent time-management and organizational skills, attention to detail and follow through
  • Excellent oral and written communication skills
  • Proactively raise, recommend and resolve issues
  • Ability to handle confidential information and develop trusting relationships, using a high degree of tact, discretion and diplomacy
  • Ability to manage multiple priorities in a fast-paced environment with high attention to detail

 

 

 

 

Minimum Education and Experience Requirements

  • Education –
    • Bachelor’s degree
    • Paralegal certification, preferred
    • Notary Public Certification
  • Experience –
    • At least 5-7 years of relevant in-house or law firm paralegal experience with a focus on corporate governance and public company securities matters
